Payment Terms & Conditions

Effective June 1, 2026

1. Acceptance of Terms

By submitting payment through Buildwiser, Inc.'s invoicing or payment platform (including HubSpot-generated invoices and payment links), you ("Client") agree to be bound by these Payment Terms and Conditions. These terms govern all credit card and debit card transactions processed on behalf of Buildwiser, Inc.

2. Accepted Payment Methods

We accept the following forms of card payment:

  • Visa
  • Mastercard
  • American Express
  • Discover
  • Debit cards with a Visa or Mastercard logo

All payments are processed in U.S. Dollars (USD). Buildwiser does not accept foreign currency at this time.

3. Credit & Debit Card Transaction Fee

A non-refundable 4% transaction fee is applied to all payments made by credit card or debit card. This fee covers payment processing costs and will be clearly displayed on your invoice prior to payment.

By submitting a card payment, Client acknowledges and agrees to this fee. To avoid the transaction fee, please contact ar@buildwiser.ai to inquire about ACH/bank transfer payment options.

4. Payment Authorization

By entering your card details and submitting payment, you authorize Buildwiser, Inc. to charge the stated invoice amount (including any applicable transaction fee) to your card. You represent that:

  • You are the authorized cardholder or have explicit authorization from the cardholder to complete the transaction;
  • The billing information provided is accurate and complete;
  • Sufficient funds or credit are available to cover the full amount.

Authorization is obtained at the time of payment submission. Buildwiser reserves the right to cancel any order or service if authorization is declined or subsequently reversed.

5. Invoice & Payment Due Dates

Invoices are issued via HubSpot and delivered to the Client's email address on record. Unless otherwise specified on the invoice:

  • Payment is due within 30 days of the invoice date (Net 30);
  • For project-based engagements, payment schedules may be outlined in a separate Statement of Work (SOW) or proposal.

Late payments may be subject to a service fee of 1.5% per month (or the maximum rate permitted by California law, whichever is less) on balances outstanding beyond the due date.

6. Payment Processing & Security

All card transactions are processed through a PCI-DSS compliant payment processor. Buildwiser does not store, transmit, or process raw card numbers on its own servers. By submitting payment, you acknowledge that:

  • Your card data is handled directly by our payment processor in accordance with applicable security standards;
  • Buildwiser is not liable for any unauthorized access to card data that occurs at the processor level outside of our control.

7. Failed Payments

If a payment is declined or returned, Buildwiser will notify the Client and may suspend services until payment is resolved. You agree to:

  • Provide an alternative valid payment method within 5 business days of notification;
  • Pay any fees or costs incurred by Buildwiser as a result of the failed transaction, including bank fees where applicable.

Repeated failed payments may result in service termination at Buildwiser's sole discretion.

8. Chargebacks & Disputes

Clients are encouraged to contact Buildwiser directly at ar@buildwiser.ai before initiating a chargeback with their card issuer. Buildwiser will work in good faith to resolve billing disputes within 10 business days.

Initiating a chargeback without first attempting resolution with Buildwiser may result in:

  • Suspension or termination of services;
  • Recovery of chargeback fees assessed by the payment processor (typically $15–$35 per dispute);
  • Referral to collections for outstanding balances.

Buildwiser reserves the right to dispute any chargeback it believes to be unjustified and will provide documentation of services rendered.

9. Taxes

Invoiced amounts do not include applicable sales, use, or other taxes unless explicitly stated. Client is responsible for all taxes, duties, or levies imposed by applicable law on services purchased from Buildwiser. If Buildwiser is required to collect taxes on behalf of Client, they will be added to the invoice separately.

10. Governing Law

These Payment Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Orange County, California.

Cancellation Policy

Effective June 1, 2026

This Cancellation Policy applies to all project-based engagements, subscriptions, and service agreements entered into with Buildwiser, Inc. By engaging our services, Client agrees to the terms below.

1. How to Cancel

All cancellation requests must be submitted in writing via email to:

Cancellations are not accepted by phone or informal communication. The cancellation is effective on the date Buildwiser confirms receipt in writing.

2. Project-Based Engagements

For fixed-scope or milestone-based projects (e.g., energy modeling, Title 24 compliance, preconstruction services):

  • Cancellations received before any work has commenced: full refund of any prepaid amounts, less the 4% card transaction fee if payment was made by card (transaction fees are non-refundable).
  • Cancellations after work has commenced: Client will be billed for all work completed through the cancellation date at the applicable hourly or milestone rate. Any remaining prepaid balance will be refunded after the final invoice is settled.
  • Cancellations after a deliverable has been submitted for Client review: the full milestone or phase fee is earned and non-refundable, regardless of whether the Client formally accepts the deliverable.
  • Work submitted to a jurisdiction (e.g., a permit application or Title 24 report) is non-refundable under any circumstances.

3. Subscription & Retainer Services

For ongoing monthly or annual subscriptions and retainer agreements:

  • Monthly subscriptions: Client may cancel at any time with written notice. The cancellation takes effect at the end of the current billing period. No prorated refunds are issued for the current period.
  • Annual subscriptions: Client may cancel with 30 days written notice. Fees paid for the current annual term are non-refundable. No partial-year refunds will be issued unless Buildwiser is unable to deliver the contracted services.
  • Retainer agreements: Unused retainer hours do not roll over and are non-refundable at the end of each billing period, unless otherwise specified in the retainer agreement.

4. Cancellation by Buildwiser

Buildwiser reserves the right to cancel or suspend services under the following conditions:

  • Non-payment or repeated failed payments beyond the agreed cure period;
  • Breach of the applicable service agreement or these terms by Client;
  • Circumstances outside Buildwiser's reasonable control that prevent delivery of services.

In the event Buildwiser cancels services for reasons not attributable to Client, a prorated refund for undelivered work will be issued within 15 business days.

5. Transaction Fee on Cancellation Refunds

The 4% card transaction fee collected at the time of payment is non-refundable in all cases, including cancellations. Refunds will be calculated on the net service amount, excluding the transaction fee previously charged.

Example: If Client paid $1,040 (which includes $1,000 for services + $40 transaction fee) and cancels before work begins, the refund issued will be $1,000. The $40 transaction fee is not refunded.

6. Dispute Resolution

If a Client disagrees with a cancellation assessment or the amount billed for work completed, they should contact Buildwiser in writing within 10 business days of receiving the final invoice. Buildwiser will review and respond within 10 business days. Clients are asked not to initiate a chargeback before attempting resolution directly with Buildwiser.

7. Governing Law

This Cancellation Policy is governed by the laws of the State of California. Disputes shall be resolved in Orange County, California.

Refund Policy

Effective June 1, 2026

Buildwiser, Inc. is committed to delivering high-quality services. This Refund Policy outlines the conditions under which refunds may be issued for payments processed via credit or debit card through our HubSpot invoicing and payment platform.

1. General Refund Eligibility

Refund eligibility depends on the nature of the service purchased and the circumstances of the request:

  • Refund requests must be submitted within 30 days of the original payment date;
  • Requests submitted after 30 days will be reviewed on a case-by-case basis and are not guaranteed;
  • Refunds are not issued for completed deliverables that have been accepted by the Client.

2. Refundable Circumstances

Buildwiser may issue a full or partial refund in the following situations:

  • Service was paid for but not delivered due to an error on Buildwiser's part;
  • Duplicate payment was processed (e.g., double charge for the same invoice);
  • A billing error resulted in overcharging the Client;
  • Project was cancelled by Buildwiser prior to commencement of work.

3. Non-Refundable Items

The following are generally not eligible for refund:

  • The 4% card transaction fee — this is non-refundable in all circumstances;
  • Services that have been fully or partially delivered and accepted;
  • Subscription or retainer fees for periods already commenced;
  • Third-party costs incurred on the Client's behalf (e.g., software licenses, subcontractor fees, permit filing fees);
  • Work product delivered in connection with energy compliance modeling, Title 24 reports, or building permitting that has been submitted to a jurisdiction;
  • Fees related to rush or expedited service requests, once work has begun.

4. Project Cancellations

Refunds related to project cancellations are governed by the Cancellation Policy above. In summary:

  • Pre-commencement cancellations: refund of prepaid service amount (transaction fee not refunded);
  • Post-commencement cancellations: refund of unused prepaid amounts after final invoice is settled (transaction fee not refunded);
  • Submitted deliverables: non-refundable.

5. How to Request a Refund

To initiate a refund request, please contact Buildwiser in writing:

Include: the reason for your request, the invoice number, payment date, and amount paid. Buildwiser will acknowledge receipt within 2 business days and provide a resolution within 10 business days.

6. Refund Processing

Approved refunds will be issued to the original payment method (credit or debit card) used at the time of purchase. Please allow:

  • 5–10 business days for the refund to appear on your card statement, depending on your card issuer;
  • Buildwiser is not responsible for delays caused by the card network or issuing bank.

In cases where the original card is no longer active, Buildwiser will work with the Client to identify an alternative method.

7. Chargebacks

We ask that Clients contact us directly before filing a chargeback with their card issuer. Unauthorized chargebacks for services rendered may result in service suspension and additional fees. Please refer to Section 8 of our Payment Terms & Conditions for more detail.

8. Changes to This Policy

Buildwiser reserves the right to update this Refund Policy at any time. Changes will be posted to www.buildwiser.ai and will take effect upon posting. Continued use of our services constitutes acceptance of the updated policy.
